BorgWarner is currently looking for a “dynamic, results-driven” individual to join as a Corporate Attorney in the Corporate Legal Department at our World Headquarters in Auburn Hills, Michigan.

The Corporate Attorney will use their legal expertise to provide advisory support to the Corporate Legal Department with day to day operations, through a broad range of responsibilities including legal benchmarking and performing various legal analysis, project management, risk management, compliance assurance, contract review, finance/budgeting, and strategic planning.


  • Creating and Tracking of Nondisclosure Agreements
  • Forming, qualifying and maintaining corporations, limited liability companies and limited partnerships.
  • Assisting with public and private mergers, debt and equity financings, acquisitions, dissolutions and initial public offerings.
  • Preparing closing checklists, preparing and maintaining due diligence files and closing files, drafting resolutions and closing documents and preparing closing books.
  • Preparing SEC Filings including Section 16, and Forms 3, 4, 5, and D. Conducting Blue Sky research and handling related filings.
  • Updating and maintaining minute books, capitalization records and preparing securities agreements.
  • Draft and review letters, drafts and memos as needed.
  • Assist with Commercial contracts as needed
  • Litigation Hold management

  • Graduated from an accredited law school with a Juris Doctorate.
  • Licensed to practice law in United States.
  • Self-starter who is capable of independent function; yet works well in a team atmosphere.
  • Strong interpersonal and communication skills.
  • Knowledge of the global automotive industry is a plus.
  • An international or global perspective is a plus.


This position will adhere to the Global Star Safety Program, including safety rules, practices and training as outlined in the BorgWarner Emissions Tralee Safety Policy Manual.  This individual will work in a manner that stresses the importance of preventing accidents and illnesses.  He/she must take every precaution reasonable in the given circumstance for the protection of themselves and co-workers.  In addition, he/she is responsible for reporting all injuries and/or possible dangerous situations, incidents, or occurrences to their immediate supervisor.
